Before the Court are defendants’ (“Defendants”) motion to dismiss under Fed. R.Civ.P. 12(b)(6) (Docket # 16) and plaintiffs’ (“Plaintiffs”) opposition thereto (Docket # 36).1 After reviewing the filings *123and the applicable law, Defendants’ motion is GRANTED.

Background
