Plaintiff Builder’s World, Inc., (“BWI”), a Wisconsin cooperative (“co-op”), i.e., a non-profit member corporation, which distributes windows manufactured by defendant Marvin Lumber & Cedar, Inc., (“Marvin”), a Minnesota corporation, brought this action in state court alleging that Marvin violated the Wisconsin Fair Dealership Law (“WFDL”), Wis.
