MEMORANDUM

CALDWELL, District Judge.

This action is before the court on defendant, CareerCom’s, motion to dismiss plaintiff, Joseph M. Whelan’s, complaint pursuant to Fed.R.Civ.P. 12(b)(6). This is a diversity action controlled by Pennsylvania law. 1 Count I of the complaint alleges that defendant breached a written employment agreement with plaintiff requiring Career-Corn to pay him stock options worth $100,-000 per year in 1987 and 1988.
