MEMORANDUM AND FINAL JUDGMENT

HUTTON, District Judge.

I. BACKGROUND

This is an appeal from the Bankruptcy Court’s final judgment entered in favor of the Appellees on July 8, 1994. In re Nutri/System., Inc., 169 B.R. 854 (Bankr.E.D.Pa.1994). The appellants are former landlords of debtors Nutri/System, Inc. (N/S) and Nu-tri/System of Florida Associates (N/SF). On December 22, 1993, the appellants, who had leases with N/S and N/SF, filed two class actions, one against N/S and the other against N/SF.
