There are discrepant texts of the civil law touching the question whether a foreign contract is subject to the law of the place where it was made, or the law of the place where it is to be executed; and the commentators by no means agree in their attempts to reconcile them. The common law' rule is, that the validity of a contract is to be determined by the law, at the place of its origin; and those cases which have sometimes been made the basis of another rule, are to be viewed rather as exceptions.
