I. INTRODUCTION
This matter is before the Court on cross motions for summary judgment. Plaintiffs filed their motion on May 17, 2012 (Dkt. No. 36, “Pls.’ Mot.”) and Defendants filed a Combined Opposition to Plaintiffs’ Motion for Summary Judgment and Cross-Motion for Summary Judgment on June 14, 2012 (Dkt. No. 40, “Defs.’ Mot.”).
