Order, Supreme Court, New York County (Shirley Fingerhood, J.), entered December 20, 1990, which, inter alia, granted the petitioner’s motion to confirm the report of a Special Referee and granted the respondent’s cross motion to the extent of permitting it to rescind its election to purchase the petitioner’s shares in the respondent corporation, unanimously modified, on the law, the facts and in the exercise of discretion, to deny the respondent’s cross motion in its entirety, and otherwise affirmed, without costs.
