MEMORANDUM OPINION AND ORDER

DENLOW, United States Magistrate Judge.

This case raises the issue of whether a non-employer can be held liable under the Employees Retirement Income Security Act (“ERISA”) for withdrawal liability when that party is alleged to have engaged in a transaction with a principal purpose of evading and avoiding withdrawal liability. The Court answers this question in the affirmative.
