MEMORANDUM OPINION AND ORDER

Federal Deposit Insurance Corporation (“FDIC”) has brought a four-count 1 Second Amended Complaint (“SAC”) against a group of defendants, claiming to have been the victim of a fraudulent scheme to obtain defaulted real estate loans in a sealed bid auction. Three defendants — David Wabick (“David”), Patricia Wabick (“Patricia”) and Lorraine Wabick (“Lorraine”) — have filed independent motions to dismiss pursuant to Fed.R.Civ.P. (“Rule”) 12(b)(6).
