OPINION

GARRETT, Judge:

¶ 1. Appellee, Counter-Appellant, Bob Moore Cadillac, Inc. (Moore), sold a 1991 Lincoln Continental automobile to Appellants, Counter-Appellees, Leona T, Proctor and Jerry W. Proctor (Proctors), on or about February 19,1996. The purchase agreement contains a provision that it is “subject to Purchaser’s satisfactory credit rating and the acceptance and funding of this Purchase Agreement and/or any Retail Installment Sales Contract executed herewith by a qualified lender or other financial institution.” Moore was allegedly advised by Proctors’ lender, Star Financial…
