Before the Court is Defendant’s Motion for Partial Summary Judgment [ECF No. 89]. For the reasons stated below, the Court grants Defendant’s Motion.

I. BACKGROUND

The following facts are undisputed unless noted otherwise. Plaintiff Advanced Ambulatory Surgical Center, Inc. (“AASC”) is a state-licensed outpatient surgery center located in Chicago, Illinois.
