GURFEIN, District Judge.

This is a diversity action in which the plaintiffs, former employees of Computer Technology, Inc. (“CT”), a Delaware corporation with its principal place of business in Texas, seek damages in lieu of retirement benefits from their former employer and from its parent, LTV Aerospace Corp. (“LTVA”), a Delaware corporation with its principal place of business in Texas, which allegedly guaranteed performance.
