I. INTRODUCTION

In Counts VII and VIII of its first amended complaint, plaintiff Resolution Trust Corporation (“RTC”) alleges that various defendants breached certain fiduciary duties and were otherwise negligent in connection with the purchase by Franklin Savings Association (“FSA”) of a $30,000,000 promissory note from L.F.
