John Healey, a professional investor and resident of New York instituted this action against Chelsea Resources, Ltd. (“Chelsea”), a Canadian corporation, Dominick & Dominick Securities, Inc. (“Dominick Canada”) and Dominick & Dominick, Inc. (“Dominick U.S.”) alleging violations of § 12(2) of the Securities Act of 1933, 15 U.S.C. § 111(2), § 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b), and Rule 10b-5 promulgated thereunder, C.F.R. § 240.10b-5, common law fraud and negligent misrepresentation, in connection with plaintiff’s purchase…
