Appellees are citizens and taxpayers of the •city of Madison, and instituted this action to enjoin the negotiation of bonds issued by the city authorities to the Bed-*504ford, Brownstown and Madison Railroad Company, and to> secure the cancellation of a subscription made by the corporate authorities to the stock of the railroad company.

The material allegations of the complaint are these: That theappellees are resident voters and taxpayers of the city of Madison, and are owners of property in that city subject to taxation; that the city is incorporated under the general laws of' the State for the…
