GIBSON, District Judge.

Prior to May 15, 1901, the plaintiff was a member of the J. M. Guffey Company, a partnership composed of himself, John H. Galey, and A. P. Lucas, which owned about 1,000,000 acres of oil leases in Texas and Louisiana. Shortly before the date mentioned, a syndicate, of which plaintiff was a member, was organized to take over the holdings of this partnership, and a Texas charter was obtained. The company was called the J. M. Guffey Petroleum Company. The name was later changed to the Gulf Production Company. The plaintiff was made 'president of this corporation, and one…
