This matter is before the Court on the parties’ cross-motions for summary judgment. The action arises out of a demand for attorneys fees by the former directors [hereinafter “Directors”] of Liberty Financial Corporation and Liberty Savings Bank under a directors and officers liability policy [hereinafter “Policy”] issued by Fidelity and Deposit Company of Maryland [hereinafter “Fidelity”].
