Plaintiff, a corporation organized under the laws of the State of Florida, is the owner of a tract of land located in that State. Corporate defendant, Manufacturers Trust Company, is *550the successor by merger to Chatham-Phenix National Bank and Trust Company. On January 1, 1931, plaintiff executed and delivered to Chatham-Phenix National Bank and Trust Company and James P. McNamara, as trustees, an indenture of mortgage covering plaintiff’s land, to secure payment of $750,000 of bonds to be issued by plaintiff.
