This matter comes before the Court on the complaint filed by the Trustee to recover a preferential transfer. The parties have waived a trial and have agreed that the Court could decide this proceeding based exclusively on the pleadings filed, stipulations and memoranda of law. The pivotal issues for the Court to decide are whether Borden, Inc. (“Borden”) has a security interest in a covenant not to compete and whether the Trustee can recover the proceeds received from the covenant not to compete as a preferential transfer.
