OPINION
MacMAHON, District Judge.
Plaintiff moves, pursuant to Rule 23(c), Fed.R.Civ.P., for class certification in this action.
The complaint alleges that certain officers and directors of Westates Petroleum Company (Westates) and other individuals used their inside knowledge and made false S.E.C. filings to profit illegally from Westates’ liquidation. Plaintiff, a Westates shareholder, brought this direct action under Section 10(b)1 of the Securities Exchange Act of 1934 and Rule 10b-52 to recover the wrongful profits.3 He now seeks to represent “all persons, exclusive of defendants, who owned…
