SHEPARD, Chief Justice.

William Dolin worked as an intermediary in the world of oil and auto products. Being indebted to two different businesses, he finessed robbing Peter to pay Paul and then apparently evaporated. His two victims have been litigating who should bear the burden of doing business with Dolin.

In the summer of 1988, William Dolin was indebted to Oil Supply Company, Inc. in an undetermined, but substantial, amount of money. In an effort to get paid by Dolin on this outstanding debt, Oil Supply entered into an agreement with Dolin under which Dolin would arrange…
