WALLS, District Judge.

Derivative Action Plaintiff Martin Deutch moves to intervene to object to settlement pursuant to Federal Rule of Civil Procedure 24(a) & (b): (1) as a current shareholder whose interest in Cen-dant will allegedly be “disproportionately diminished as a result of the Settlement” of the main Cendant class action (“Cal-PERS Action”); and (2) as the derivative action plaintiff “in order to protect the viability of the Company’s and current shareholders’ claims that seek recovery from the individual defendants for exposing the company to harm” in the CalPERS action.
