MEMORANDUM OPINION

TILLEY, District Judge.

This matter is now before the Court on Defendants’ Motion to Dismiss pursuant to Rules 12(b)(1) and 12(b)(6) of the Federal Rules of Civil Procedure [Doc. # 23] and Defendants’ Motion for Summary Judgment [Doc. #26].
