Vance M. Thompson, Jr., a citizen of Tennessee, and William Hadley Thompson, W. Dane Clay, W. Dane Clay, Trustee, and R. Mike Butner, all citizens of Arkansas (hereinafter called the Thompson Group), brought suit in the Eastern District of Arkansas for an alleged breach of contract. The defendant is Ecological Science Corporation, successor to Southern Gulf Utilities, Inc. The defendant is a Florida corporation having its principal place of business in Florida.
