This appeal stems from a second derivative action brought on behalf of LSI-Lowery Systems, Inc. (LSI) by its minority shareholder, Dale Van Leeuwen (Van Leeuwen), against Daniel J. Lowery (Dan Lowery), Dorothy Lowery, Dennis J. Lowery, LSI, and Lowery Holdings, LLC (together, Defendants), asserting allegations of wrongdoing by LSI’s directors and employees.
