OPINION & ORDER
WILLIAM H. PAULEY III, District Judge:
Plaintiffs Kortright Capital Partners LP and its co-founders, Matthew Taylor and *353Ty Popplewell (collectively, “Kortright”), bring this action against Defendant Invest-corp Investment Advisers Limited (“In-vestcorp”) for negligent misrepresentation, negligence, breach of contract, breach of the implied covenant of good faith and fair dealing, and promissory estoppel. Invest-corp moves to dismiss the Complaint. In-vestcorp’s motion is granted in part and denied in part.
