The case sub judice arises out of a franchise agreement between Consun Food Industries, Inc. (“Consun”) and Carol and Thomas Fowkes. The agreement provided the Fowkeses with a Convenient Food Mart franchise in Avon Lake, Ohio.

In 1989, the Fowkeses sought to terminate the agreement with Consun, and Consun brought an action to prevent the termination. Consun’s complaint sought declaratory and injunctive relief, and stated additional counts sounding in breach of contract, wrongful appropriation of knowledge and unjust enrichment.
