MEMORANDUM OF DECISION AND ORDER

On December 11, 2002, Laura Glazer (“Glazer” or the “plaintiff’) commenced this action alleging that AA Premier Realty Ltd., a/k/a Re/Max Premier Realtors (“AA Premier Realty”), Salvatore J. San-zone (“Sanzone”), and Mary Lynn Billman (“Billman”) (collectively, the “defendants”) violated section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b), et seq.
