Defendant is a mutual benefit insurance association organized under the laws of this state, with its headquarters and principal place of business at Duluth. Its constitution provides for three distinct organizations, viz., the Imperial, Grand, and subordinate councils; the two latter owing allegiance to and the agencies through which the Imperial Council transacts its insurance business. Members become such and obtain their benefit certificates by joining the subordinate councils; the certificates being issued, and in the case of the death of members paid, by the Imperial Council.
