NEESE, District Judge.

This is a civil action seeking compensatory and punitive damages and asking this Court to “set aside” a purported corporate merger. The Court’s jurisdiction was attempted to be invoked under the provisions of several federal securities statutes and also on the basis of the diverse citizenship of the parties and the requisite amount in controversy.
