The Corporations Code provides that the holder of shares in certain types of corporations may require the corporation to purchase his shares for fair market value if the corporation merges with another, and the shareholder dissents from the merger. (Corp. Code, §§ 1300, 1301.)1 The corporation must offer the dissenting shareholder a price which it determines *1202to be fair market value for his shares (§ 1301, subd. (a)).
