OPINION

ANN CRAWFORD McCLURE, Justice.

Wil-Roye Investment Co. II and Renewable Investments appeal from a take nothing judgment entered in favor of Washington Mutual Bank following a bench trial. We affirm.

FACTUAL SUMMARY

In January of 1995, Bill Wilson, William B. Wilson (Bill’s father), and the Roye brothers, Mike and Walter, formed Wil-Roye Investment Company for the purpose of re-factoring invoices purchased by Key Commercial Investments, Inc.
