KENT, District Judge.

Plaintiff commenced this action in Galveston County state court on July 18, 1996, and it was timely removed to this Court on August 22, 1996. Now before the Court is Defendant’s Motion to Dismiss and Defendant’s Motion to Stay. For the reasons set forth below, Defendant’s Motion to Dismiss is partially GRANTED, and Plaintiffs claim alleging breach of the common-law duty of good faith and fair dealing is DISMISSED WITH PREJUDICE.
