On June 5, 1882, the Rockdale Manufacturing Company was incorporated under Sec. 11, Ch. 142, Acts . of 1875, and, at a meeting of its directors, on June 9, 1882, the capital stock of *605the company was fixed at §250,000, in equal shares of §100 each. On the latter day, James Whitworth and five other directors subscribed jointly for §135,-000 of the capital stock, and conveyed to the company about 5,742 acres of land, in payment of their subscription.
