MEMORANDUM OPINION AND ORDER

KRAM, District Judge.

Plaintiffs UPIC & Co. and United Pacific Life Insurance Company are, respectively, the registered holder and beneficial owner of $12 million of subordinated notes issued by defendant Kinder-Care Learning Centers, Inc.
