ADELMAN, District Judge.
In April 1989, the Environmental Protection Agency (“EPA”) named the Glid-den Company (“Glidden”), the Sherman Wire Company (“Sherman”) and other entities as potentially responsible parties (“PRPs”) 1 with respect to a hazardous waste site, the Chemical Recycling, Inc. site (hereinafter “Site”) in Wylie, Texas. In May 1989, a number of PRPs, including Glidden and Sherman, entered into an agreement (“the Agreement”) to manage the cleanup in compliance with the EPA’s remedial plan.
