OPINION

This is a derivative action in equity for cancellation, accounting and equitable relief, commenced in the court of common pleas of Cuyahoga County by Hannah S. Holmes who was then the owner of 12 shares of the common capital stock of the Republic Steel Corporation, against said corporation, and Tom M. Girdler, chairman of the board of directors and chief executive officer. While the suit was pending in the common pleas court the plaintiff died and the action was revived in the name of Godfrey Holmes, her administrator, as substitute plaintiff.
