MEMORANDUM OPINION AND ORDER

HADEN, Chief Judge.

Pending is Defendants’ motion to dismiss. For the reasons discussed more fully below, the Court GRANTS in part and DENIES in part Defendants’ motion.

I. FACTUAL DEVELOPMENT
