On November 30, 1981, appellee filed a complaint in Multnomah County, Oregon. The named defendants were: Appellant-Jeffrey Cohen and David Cohen, partners, doing business as Cohen Brothers *88Export Lumber Specialists; and, Cohen Brothers Export Lumber Specialists, Inc., a Massachusetts corporation.
