MEMORANDUM OPINION

JAMES G. MIXON, Chief Judge.

On May 28, 1991, Hot Shots Burgers & Fries, Inc., (debtor) filed a voluntary petition for relief under the provisions of Chapter 11 of the United States Bankruptcy Code. The case was converted to a proceeding under Chapter 7 and M. Randy Rice was appointed trustee. On August 21, 1992, the trustee filed a complaint seeking a determination as to the correct distribution of proceeds from the sale of a modular building. The modular building was sold by Wheelees, Inc., (Whee-lees) in 1987 to Edward A. Salazar, Luis E. Salazar and Thomas J. Houlihan.…
