MORAN, District Judge.
Plaintiff Joseph Mastro brought this derivative action on behalf of Halsted Video, Inc. (“Halsted Video”) against its four corporate officers and its accountant. Mastro alleges that the four corporate officers skimmed funds belonging to the corporation for their own use by falsifying financial documents and failing to report income, and that the accountant knowingly prepared the false documents.
