This is a civil action on a conservator’s bond with jurisdiction based on diversity. As discussed in further detail below, Plaintiffs’ entered into a business transaction with the Souther Conservatorship. Plaintiffs have sued other participants in the transaction in a companion case that has been dismissed. 1 The other action alleged fraud, legal malpractice, breach of contract and violations of federal and state securities law.
