MEMORANDUM OPINION

Plaintiff United States Fidelity & Guaranty Company (USF & G) has filed this action against defendants Algernon-Blair, Inc., Pelzer Homes, Inc., and William G. Thames, seeking declaratory relief under the Declaratory Judgment Act, 28 U.S.C.A. § 2201. Algernon-Blair has filed a cross-claim against Pelzer Homes and Thames, charging them with misrepresentation and fraud, and breach of contract.
