This case is before the court on Defendant’s motion to dismiss for lack of personal jurisdiction or for improper venue [4-1].

I. STATEMENT OF THE CASE

Plaintiff, CareKeeper Software Development Company, Inc., filed this declaratory judgment action on August 26, 1998. Defendant Jay L. Silver was hired by Plaintiff, a small software development company, on November 27, 1997 as the Vice-President of Finance and Business Development.
