OPINION AND ORDER

INTRODUCTION

This case is before the Court on Cross-Motions for Summary Judgment filed by Lawrence Cutler, Howard Cutler and Can-dette Cutler (“Cutlers”), on the one hand, and Robert J. Davis, Trustee (“Trustee”) for the Chapter 7 estate of Randy' Scott Cutler (“Debtor”), on the other. At issue is the complex and often tortuous interaction between the Bankruptcy Code, state partnership law, and a general partnership agreement entered into pursuant to such law. Each motion is granted in part and denied in part.
