On April 21, 2005, Genesis Insurance Company (“Genesis”) filed a complaint against the former directors and/or officers of SmarTalk Teleservices, Inc. (“SmarTalk”) in order to recover certain costs advanced to those officers and directors in connection with securities class action lawsuits. Three defendants, Ahmed O. Alfi, Robert H. Lorsch, and Richard M.
