HAYS, Circuit Judge:
This action was brought by the New York City Jaycees (“Local”) seeking injunctive relief to prevent revocation of its charter by the United States Jaycees (“National”) and the New York State Jaycees (“State”). 1 The threat of charter revocation was made in response to the adoption by Local of a bylaw which admitted women to membership and was therefore inconsistent with the national bylaws restricting membership to males. 2 Local contended that revocation of its charter for noncompliance with National’s policy of sex discrimination violated the Fifth and Fourteenth…
