MEMORANDUM
WISEMAN, Chief Judge.
This matter is before the Court on defendant’s motion to dismiss for failure to join an indispensable party. Defendant, Rhythm Band, Inc. (RBI), is a non-Tennessee corporation with its principal place of business in Fort Worth, Texas. RBI manufactures and markets a line of children’s musical instruments under the registered trademark, “Kidsplay.” Plaintiff, JTG of Nashville, Inc.
