Plaintiffs-appellants Scottish Air International, Inc. (“SAI”) and Murray Vidockler (collectively “plaintiffs”) brought this diversity action against defendants-appellees British Caledonian Group, P.L.C. (“BCG”) and three of BCG’s directors, Adam Thomson, Dennis H. Walter and R. Marshall Gibson (collectively “defendants”).
