I. BACKGROUND
RMM Records and Video Corporation (“RMM”) filed for bankruptcy in November 2000 and subsequently sold its assets to Universal Music & Video Distribution, Corp. (“Universal”) in exchange, in part, for money due under a promissory note (the “Note”).
